👋 Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you and Sisu Ventures LLC ("BizReply," "we," "us," or "our") governing your access to and use of the BizReply mobile application, website at bizreply.org, and all related services (collectively, the "Service").

By creating an account or using the Service, you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them. If you are using BizReply on behalf of a business, you represent that you have authority to bind that business to these Terms.

📱 The Service

BizReply provides small business owners with a dedicated local phone number and tools to automate SMS responses, manage voice calls, book appointments, and communicate with customers. The Service is delivered via a mobile application (Android) and a web interface.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

👤 Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete information when creating your account
• Keep your password secure and not share it with others
• Notify us immediately at support@bizreply.app if you suspect unauthorized access
• Not create multiple accounts to circumvent restrictions or bans
• Not transfer your account to another person without our written consent

We reserve the right to terminate or suspend accounts that violate these Terms or that we reasonably believe are being used for fraudulent or harmful purposes.

💬 Acceptable Use — SMS & Messaging

BizReply uses Twilio to deliver SMS messages on your behalf. By using the messaging features, you agree to comply with all applicable laws and carrier regulations, including:

• The Telephone Consumer Protection Act (TCPA)
• The CAN-SPAM Act
• CTIA Messaging Principles and Best Practices
• A2P 10DLC registration requirements for business SMS in the United States
• Twilio's Acceptable Use Policy

You are solely responsible for obtaining proper consent from recipients before sending them SMS messages through BizReply. You must not use BizReply to:

• Send unsolicited bulk messages (spam)
• Harass, threaten, or deceive recipients
• Send messages containing illegal content, malware, or phishing links
• Impersonate another person or business
• Violate any applicable law or regulation

💳 Billing & Subscriptions

BizReply offers paid subscription plans. By subscribing, you agree to the following:

• Free Trial: New accounts receive a 14-day free trial. No credit card is required to start the trial. At the end of the trial, you must subscribe to continue using the Service.
• Subscription Fees: Subscription fees are charged monthly in advance. Current pricing is listed at bizreply.org/#pricing. We reserve the right to change pricing with 30 days' notice.
• Payment Processing: All payments are processed by Stripe. By providing payment information, you authorize Stripe to charge your payment method on a recurring basis.
• Cancellation: You may cancel your subscription at any time from within the app. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.
• Failed Payments: If a payment fails, we will retry up to three times. If payment cannot be collected, your account may be suspended until the balance is resolved.
• Taxes: Prices do not include applicable taxes. You are responsible for any sales, use, or similar taxes applicable to your subscription.

📞 Phone Numbers

BizReply provisions dedicated local phone numbers through Twilio for use with the Service. You acknowledge that:

• Phone numbers are leased from Twilio and are not owned by you
• Numbers may be reclaimed by carriers if they are inactive or violate carrier policies
• BizReply cannot guarantee that a specific area code or number will remain available
• Upon cancellation or termination, your BizReply number will be released and may be reassigned
• Number porting (transferring your BizReply number to another carrier) is not currently supported

🔒 Intellectual Property

The BizReply name, logo, app, website, and all associated content are owned by Sisu Ventures LLC and are protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute any part of the Service without our written permission
• Reverse engineer, decompile, or attempt to extract the source code of the app
• Use the BizReply name or logo without prior written consent
• Create derivative works based on the Service

You retain ownership of all content you create or upload through BizReply (e.g., auto-reply messages, appointment notes). By using the Service, you grant BizReply a limited license to store and process that content solely to provide the Service to you.

🚫 Prohibited Activities

You agree not to use BizReply for any of the following:

• Any unlawful purpose or in violation of any applicable law or regulation
• Harassment, abuse, threats, or discrimination against any person
• Sending spam, phishing messages, or malicious content
• Interfering with or disrupting the integrity or performance of the Service
• Attempting to gain unauthorized access to the Service or its related systems
• Scraping, crawling, or data mining the Service without our written consent
• Reselling or sublicensing the Service to third parties
• Using the Service to compete with BizReply or to build a competing product

⚠️ Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. BizReply does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

To the maximum extent permitted by law, BizReply and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to BizReply in the 12 months preceding the claim.

⚖️ Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration against BizReply.

🔄 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or via an in-app notification at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.
